End-User License Agreement

Effective date: April 11, 2026

This End-User License Agreement ("Agreement") is a legal agreement between you ("User") and Kueffer Capital, Inc. ("Company") governing your use of the Company's software, applications, and related services ("Software"). By accessing or using the Software, you agree to be bound by this Agreement.

1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for your internal business or personal purposes.

2. Restrictions

You shall not:

• Copy, modify, distribute, sell, or lease any part of the Software
• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Use the Software to build a competing product or service
• Sublicense or transfer your rights under this Agreement to any third party
• Use the Software in any manner that violates applicable laws or regulations

3. Intellectual Property

The Software, including all intellectual property rights therein, is and shall remain the exclusive property of the Company. This Agreement does not convey any ownership interest in the Software.

4. User Data

You retain ownership of any data you submit through the Software. By using the Software, you grant the Company a limited license to process your data solely to provide and improve the services. Our handling of your data is governed by our Privacy Policy.

5. Termination

This Agreement is effective until terminated. The Company may terminate this Agreement at any time if you breach any provision. Upon termination, you must cease all use of the Software and destroy any copies in your possession. Sections 3, 6, 7, 8, and 9 survive termination.

6. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY. THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Software or violation of this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

10. Modifications

The Company reserves the right to modify this Agreement at any time. Continued use of the Software after changes constitutes acceptance of the modified terms.

11. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Software and supersedes all prior agreements and understandings.
